This Agreement (the "Agreement") is a legal agreement between you and Crocodile Shoes & Accessories ("Crocodile Shoes & Accessories" or "www.crocodile-eshop.com" or "Company") that states the terms and conditions under which you may receive the Crocodile Shoes & Accessories service and use www.crocodile-eshop.com. b. E-commerce - Web site transactions. You may use the website to purchase the products or services from our suppliers or from us. Any such transaction is completed under the terms of the supplier's business, our Company does not bear any responsibility for such transactions.

2. Your Member Account.

You agree to provide Crocodile Shoes & Accessories with accurate and complete information as required by registration for the Crocodile Shoes & Accessories service ("Customer Registration Data"), including, but not limited to, your legal name, billing and delivery addresses, telephone number and promptly to notify Crocodile Shoes & Accessories of any change in your Customer Registration Data. 4. Fees, Payment and Access

You are responsible for, and agree to pay promptly, all charges to your account, including applicable taxes and purchases by you or anyone you allow to use your password or I.D. number, including your family, friends or other customers. Fees and charges will be assessed in accordance with the then current Crocodile Shoes & Accessories fee schedule which can be accessed online. 7. Termination.

Crocodile Shoes & Accessories may suspend or terminate your access to the Crocodile Shoes & Accessories service at any time for any reason with or without notice to you. You may terminate your Crocodile Shoes & Accessories service at any time for any reason by delivering notice in a manner provided in this Agreement which termination will be effective the day the notice is received or such later date specified in the notice. If you terminate your Crocodile Shoes & Accessories Service for any reason, you will not be entitled to a refund of any fees. Crocodile Shoes & Accessories reserves the right to collect fees and charges incurred before you cancel your Crocodile Shoes & Accessories Service. 8. Limitation of Liability and Disclaimer of Warranty.

NEITHER CROCODILE SHOES & ACCESSORIES NOR ANY OF ITS DIRECTORS, EMPLOYEES, INVESTORS AGENTS, LICENSORS OR MERCHANTS (COLLECTIVELY, ITS "ASSOCIATES") SHALL BE LIABLE FOR DAMAGES OF ANY KIND, INCLUDING, BUT NOT LIMITED TO, DIRECT, INDIRECT, INCIDENTAL, PUNITIVE AND CONSEQUENTIAL DAMAGES, ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE CROCODILE SHOES & ACCESSORIES, WWW.CROCODILE-ESHOP.COM, THE INTERNET OR FOR ANY OTHER CLAIMS RELATED IN ANY WAY TO YOUR RELATIONSHIP WITH CROCODILE SHOES & ACCESSORIES. CROCODILE SHOES & ACCESSORIES'S LIABILITY IS LIMITED TO CREDITING YOUR ACCOUNT FOR PRODUCTS SOLD BY CROCODILE SHOES & ACCESSORIES AND RETURNED BY YOU. 9. Indemnification.

You agree to defend, indemnify and hold Crocodile Shoes & Accessories and its Associates harmless from any claims and expenses, including attorney's fees, arising in connection with a violation of this Agreement by you or through use of your account.

You irrevocably indemnify The Company and its data providers and affiliates from and against any and all losses, damages and costs suffered or incurred by The Company, or any data providers or affiliates of whatsoever nature arising out of or in connection with your use, provision or distribution of information or any part or the Site or any part or otherwise howsoever arising in relation to any breach of these terms and conditions by you.

10. Legal and Miscellaneous

1. This Agreement states your entire agreement with Crocodile Shoes & Accessories regarding the use of the Crocodile Shoes & Accessories Service and www.crocodile-eshop.com. If any portion of this Agreement is held invalid or unenforceable, that portion shall be construed in accordance with applicable law as nearly as possible to reflect the original intention of the parties, and the remainder of this Agreement shall remain in full force and effect
2. The failure of either party to insist upon strict performance of any provision of this Agreement shall not be construed as a waiver of any provision or right.
3. This Agreement shall be governed by the laws of the Republic of Cyprus without regard to its conflict of laws rules. You expressly agree that exclusive jurisdiction for any claim or dispute with Crocodile Shoes & Accessories or its Associates or relating in any way to your use of the Crocodile Shoes & Accessories or www.crocodile-eshop.com resides in the courts of Cyprus, and you further consent and agree to personal jurisdiction by the republic and courts sitting in the republic of Cyprus in connection with any such dispute.
4. Any cause of action by you must be instituted within one year after the claim or cause of action has arisen, or be barred.
5. Sections 7 and 8 of this Agreement are for the benefit of Crocodile Shoes & Accessories and its Associates, and each shall have the right to assert and enforce the provisions directly on their own behalf. Sections 7 and 8 of this Agreement and all obligations and restrictions placed upon you or your permitted users by this Agreement shall survive termination of your Crocodile Shoes & Accessories service.

11. Hypertext links

The Company provides hypertext links to sites on the Internet which are operated by other people. Using an external hypertext link means that you are leaving the Site and The Company therefore takes no responsibility for and gives no warranties, guarantees or representations in respect of linked sites.

12. Advertising and sponsorship

The Company reserves the right to remove any such information from the services without warning and to inform and give assistance to the relevant bodies in respect of any transgressions. The Company accepts no responsibility for and gives no warranties in connection with any information posted on its site by its users. The Company recommends that you do not rely on such information.
